Key Responsibilities:

• Advise sponsors and institutional investors on private fund formation and governance

• Structure and execute fund formation and sponsor-level transactions

• Handle secondary transactions involving limited partner interests and portfolio company stakes

• Coordinate with clients, internal tax and regulatory teams, and outside advisors

• Draft offering memoranda, limited partnership agreements, side letters, and related documentation

Qualifications:

• 3–5 years of experience in private investment fund formation

• Background at a top corporate law department (AmLaw or international firm preferred)

• JD from an accredited U.S. law school with strong academic credentials

• Member of the California Bar or willing to waive in

• Familiarity with sponsor-level economics and fund compliance frameworks

• Excellent communication, drafting, and organizational skills
